End User License Agreement (EULA) of Dr Assistant

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "You") and BinaryCastle ("Licensor" or "We") for the software product ("Software"), which includes source code, and may include associated media, printed materials, and "online" or electronic documentation.

By purchasing, installing, or otherwise using the Software, You agree to be bound by the terms of this EULA. If You do not agree to the terms of this EULA, do not purchase, install, or use the Software.

1. GRANT OF LICENSE

1.1 Standard License. Upon purchase, Licensor grants You a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely on one (1) domain owned by You.

1.2 Extended License. If You purchase the extended license, You may use the Software to charge end users for access or use of the Software. This license also allows You to modify the Software for your own use.

2. RESTRICTIONS

2.1 Domain Restrictions. You may install and use the Software on only one (1) domain per license. If You wish to install the Software on multiple domains, You must purchase a separate license for each domain.

2.2 Modification. You may modify the Software for personal or business use. However, You may not sell, resell, or otherwise distribute the modified or original source code to any third party.

2.3 Prohibition on Resale. You may not, under any circumstances, sell, resell, license, sublicense, distribute, or transfer in any way the original or modified Software, or any portion thereof, to any third party.

3. INTELLECTUAL PROPERTY RIGHTS

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. All title, including but not limited to copyrights, in and to the Software and any copies thereof are owned by Licensor or its suppliers.

4. TERMINATION

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Licensor if You fail to comply with any term(s) of this EULA. Upon termination of this EULA, You shall cease all use of the Software and destroy all copies, full or partial, of the Software.

5. LIMITED WARRANTY

The Software is provided "AS IS" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The entire risk as to the quality and performance of the Software is with You. Should the Software prove defective, You assume the cost of all necessary servicing, repair, or correction.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall Licensor or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, or other information, for business interruption, for personal injury, for loss of privacy arising out of or in any way related to the use of or inability to use the Software, third-party software and/or third-party hardware used with the Software, or otherwise in connection with any provision of this EULA), even if Licensor or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

7. GOVERNING LAW

This EULA shall be governed by and construed in accordance with the laws of [Your Country/State], without regard to its conflict of law principles. Any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in [Your Country/State].

8. ENTIRE AGREEMENT

This EULA constitutes the entire agreement between You and Licensor with respect to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this EULA will be binding unless in writing and signed by Licensor.
